Terms of Service

These terms apply if you use Canonvale or submit the closed-alpha access form, after they are posted. They are a contract between you and Black Gate Studios LLC (“Black Gate,” “we,” “us”) for use of Canonvale (the “Service”). Visiting the marketing pages alone is not agreement to these terms.

Our Privacy Policy is the live notice at https://canonvale.com/privacy. Read it with these terms.

Contact

Market support: help@blackgatestudio.com. That address is customer support. It is not a dedicated legal officer and not a dedicated incident or breach contact. We have not published a separate legal-request address.

The site links to Discord as a community. Discord is a third party with its own terms. If you open that link, you use Discord’s service. We do not send your waitlist email to Discord. Discord is not our legal or incident contact.

Closed alpha and the access form

Closed alpha is free. There is no Canonvale subscription charge for early access. You pay your model provider if you use bring-your-own-key (BYOK).

The homepage lists later commercial prices of $15 per month or $150 per year and states there is no checkout on this page. Those listed prices are not billed to closed-alpha participants. Billing is not integrated in the current product. Submitting the access form does not create a Canonvale account and does not guarantee an invitation.

If you submit the form, we collect the email address you enter. The public form sends that email to our waitlist endpoint as {email}. There is no consent checkbox.

We do not publish a waitlist size.

License

If you are invited and use Canonvale, we grant you a limited, revocable, non-exclusive, non-transferable license to use that copy for your own lawful purposes, subject to these terms.

We and our licensors retain all rights in the Service, including software, design, and trademarks. No other rights are granted. Company software and company IP stay with the company. These terms do not grant a public-source right and do not create an account by themselves.

If you use the Service for an organization, you represent you have authority to bind it.

Accounts and sign-in

This marketing site has no sign-in. Product application code is written to use a third-party identity provider (Auth0) if you later sign in to the product. That is a statement about current code, not a claim that a live login is running on this page.

If an account is later authorised, you are responsible for credentials and for activity under that account. We may suspend or close access that violates these terms or that creates risk to the Service or other users.

The Service and AI output

Canonvale is software for creating and running fictional roleplaying worlds, including with third-party AI models you choose. The homepage product preview is a mock. It is not a live product session.

AI output can be inaccurate, incomplete, offensive, or infringing. You are responsible for reviewing output before you rely on it or publish it. We do not warrant that output is unique, lawful, or fit for any purpose. We do not provide legal, medical, or other professional advice. Do not treat the Service as a substitute for a human professional.

Bring your own key (BYOK)

If you provide an API key for a supported provider, you are responsible for that provider’s terms and for charges on your provider account. Supported providers listed on this site: OpenAI, Anthropic, Gemini, and OpenRouter.

Current product code stores that key on our side, encrypted, so the product can call the provider you chose. That encryption applies to stored keys. It is not a claim that we encrypt every other kind of data.

When a generation runs, the prompt and relevant story content are sent to the provider you selected, along with the decrypted key. We do not run a company-owned stand-in for those providers. Those providers have their own terms. We do not control how long they keep prompts or whether they use them to train models. We do not warrant those vendors.

Your content and our IP

You retain whatever rights you already have in content you submit (“User Content”), including worlds, lore, characters, memories, relationships, chat, snapshots, exports, images, and audio you create.

You grant Black Gate a worldwide, non-exclusive, royalty-free license to host, reproduce, adapt, display, and make technical copies of User Content solely to operate and provide the Service to you and users you invite, and to comply with law. That license is not a transfer of ownership. It is not a public-source grant. It is not a grant to train our own machine-learning models unless a later, clearly disclosed, consented practice is approved.

If you use Share a Copy, another Canonvale user receives an independent copy of that world. Provider keys are not included.

You represent that you have the rights needed to submit User Content and that it does not infringe others’ rights or violate law.

We do not grant you a right to receive, publish, or force-publish company source.

Acceptable use

You may not: break the law; infringe intellectual property; upload malware; attempt unauthorized access; use the Service to generate or distribute child sexual abuse material or to sexualize minors (fictional or real); harass others; or reverse engineer the Service except as allowed by law.

We may suspend access or remove content that we believe violates this section. We do not promise active moderation, 24/7 review, or that we will catch every violation.

Fees

Closed alpha is $0 to us, plus BYOK. You pay your model provider. We do not charge a Canonvale subscription in early access.

If we later offer a paid or automatically renewing plan, we will disclose material terms before taking billing information. That path is not open. Opening billing is a separate decision.

Disclaimers

THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not claim a certified security program. We do not offer an SLA. Company source stays private. That is not a customer warranty that your data is encrypted, backed up, or recoverable.

Some places do not allow certain disclaimers. Those limits apply.

Limitation of liability

To the maximum extent permitted by law, Black Gate and its officers, directors, and contractors are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill.

Our total liability for claims relating to the Service is limited to the amount you paid us for the Service (which, while closed alpha is free, is $0) — except for liability that cannot be limited under applicable law, including (where applicable) our fraud or willful misconduct. If we later charge a Canonvale fee, this cap will need to be reset to a number proportionate to that fee. These terms do not invent that number.

Indemnity

You will defend and indemnify Black Gate against claims arising from your User Content, your use of the Service, or your violation of these terms or of law, except to the extent caused by our willful misconduct.

Termination

We may end or suspend access at any time, including if you violate these terms, if required by law, or if we discontinue the Service. You may stop using the Service at any time.

To remove a waitlist email, email help@blackgatestudio.com and ask us to delete that email from the waitlist. We will delete that email from the waitlist. That is not a full account-erasure process. We do not claim we delete product accounts, identity records, databases, or stored world content on request.

Sections that by nature should survive (including IP, disclaimers, limitation of liability, and indemnity) survive.

Privacy

How we collect and use personal information is described in the live Privacy Policy at https://canonvale.com/privacy.

Changes

We may update these terms. For material changes, especially new uses of your content or data, we will give notice before the change applies and will not rely on a quiet retroactive edit. Continued use after a properly noticed change is acceptance only where law allows; some changes would need a new consent.

These terms apply if you use Canonvale or submit the access form, after they are posted. Visiting the marketing pages alone is not acceptance.

What these terms do not claim

These terms do not claim:

• a formation state or a governing-law state
• an age floor, an age rating, COPPA compliance, or that the product is or is not directed to children
• a designated copyright agent
• arbitration or a class-action waiver
• that we sell or do not sell personal information
• a full account-erasure process
• that we encrypt all data
• that we have a certified security program or an SLA
• that we are GDPR, CCPA, COPPA, or FTC compliant
• that visiting the marketing site alone is agreement

Audience and age are not recorded as a product decision on this page.

General

These terms, together with the live Privacy Policy and any additional terms we present for a specific feature, are the agreement about the Service. If a court finds a term unenforceable, the rest remains. You may not assign without our consent; we may assign in connection with a reorganization or sale of assets. No waiver is implied by delay.
